Please read these Terms and Conditions carefully before using our Services. These Terms govern your use of our Services.

1. Introduction

Execue GTM, Inc. (“Execue,” “we,” “us,” or “our”) provides its services, as defined below, to you through its websites and applications located at https://execue.io and https://app.execue.io (collectively, the “Platform”), as well as any other related websites, applications, or services made available by us (collectively, the “Services”).

These Terms and Conditions (the “Terms”) govern your access to and use of the Platform, including but not limited to:

  • Lead intelligence and sales optimization solutions

  • Software, tools, integrations, APIs, and related content

  • Subscription-based services, including customer support and product enhancements

  • Demo registrations and trial periods (if applicable)

These Terms apply to all visitors, registered users, and business entities (collectively, “Users,” “you,” or “your”) who access or use our Services.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

2. General Terms

2.1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ™and Execue. By registering for or using our Services, you represent and warrant that:

  1. You accept these Terms in full.

  2. All information provided during account registration is accurate, complete, and up to date.

  3. Your use of the Services complies with all applicable laws, regulations, and corporate policies.

2.2. Eligibility

To use the Services, you must:

  1. Be at least 18 years old or the legal age of majority in your jurisdiction.

  2. Have full legal capacity to enter into binding agreements.

  3. If acting on behalf of a company or legal entity, you confirm that you have the authority to bind that entity to these Terms. If you lack such authority or do not agree with these Terms, you must not use the Services.

  4. Not be prohibited from using the Platform under applicable laws or our policies.

  5. Not access the Platform from restricted, sanctioned, or high-risk jurisdictions, as defined by applicable regulations.

  6. Not use the Platform for competitive analysis or in a manner that conflicts with our business interests.

2.3. Language of the Terms

These Terms are written in English and shall be the controlling language in any dispute. Any translations are provided for convenience only and shall not override the English version.

3. Description of Services

3.1. Overview

Execue provides lead intelligence and sales optimization solutions through its Platform. Our Services include but not limited to:

  1. Job Change Tracking – Identifying potential buyers who switch jobs, signaling new purchasing intent.

  2. Lead Data Management – Allowing users to upload and manage lead contact details.

  3. CRM Integrations – Syncing leads with supported CRMs.

  4. Automated Sales Outreach – Generating AI-powered, context-rich messaging to improve conversion rates.

  5. Notifications & Insights – Delivering sales pipeline updates via email and Slack alerts.

Any new features, modifications, or additions to the Services are also subject to these Terms. The availability of certain features may require additional fees at our sole discretion.

3.2. Service Availability & Maintenance

Unless otherwise agreed upon in writing, Execue does not commit to specific service levels, uptime guarantees, or response times for support requests. However, we make reasonable efforts to ensure our Services are available and operational, and to address support inquiries in a timely manner.

Users acknowledge that:

  1. The Services may experience temporary unavailability due to planned maintenance, updates, or improvements.

  2. Whenever possible, Execue will provide advance notice of scheduled maintenance or service interruptions.

  3. We are not liable for service disruptions, delays, or failures resulting from factors outside our control, including third-party outages, network failures, or force majeure events.

4. Account Registration and Security

4.1. Registration Process

To access our Services, you must create an account using a valid business or personal email address.

By registering, you agree to:

  1. Provide accurate, current, and complete information.

  2. Keep your account information updated to maintain its accuracy.

  3. Not misrepresent your identity or create accounts on behalf of others without authorization.

4.2. Account Credentials

During account creation, you must set a secure password. Your registered email will serve as your username. If signing up through a product demonstration, an auto-generated password may be assigned, which you are responsible for updating.

You are solely responsible for maintaining the confidentiality of your login credentials. Any unauthorized access or security breaches must be reported immediately to alex@execue.io.

4.3. User Responsibility and Restrictions

You may not share your account credentials with third parties without our prior written consent. You are responsible for all activity occurring under your account.

Execue reserves the right to audit accounts to ensure compliance with subscription limits. If multiple users require access, a multi-user plan must be purchased.

Users may not create multiple accounts to bypass service limitations. If such activity is detected, we reserve the right to suspend or terminate the account without notice.

4.4. Account Inactivity

We reserve the right to deactivate accounts that remain inactive for 12 months. Affected users will receive advance notice before deactivation.

4.5. Unauthorized or Fraudulent Activity

If we suspect fraudulent activity, intellectual property violations, misuse of the Services, or any other breach of these Terms, we may suspend or terminate your account without prior notice and, if necessary, report such activity to the relevant authorities.

5. Fees and Payment

5.1. Subscription-Based Services

  1. Our Services are offered on a subscription basis, with pricing details available on our website. By subscribing, you agree to pay all applicable fees as outlined at the time of purchase.

  2. Subscription fees exclude any applicable taxes, bank fees, or payment processing charges, which may vary depending on your jurisdiction and payment method.

  3. We offer various subscription plans with billing options, including monthly, quarterly (3-month), semi-annual (6-month), and annual payments. Subscription pricing is determined based on factors such as the volume of tracked leads or companies, the number of users with access, and any additional premium features or integrations.

  4. We reserve the right to modify, discontinue, or adjust the scope, pricing, and availability of our subscription plans at our sole discretion.

5.2. Payment Processing and Billing

  1. Payments for our Services are processed securely via authorized third-party payment providers. We are not responsible for any errors or disputes that arise between you and the payment provider.

  2. All fees are billed in advance according to your selected billing cycle (monthly, quarterly, semi-annual, or annual).

  3. Subscription details, including pricing, are available on our Platform or can be provided upon request.

  4. Custom services, such as custom integrations, consulting, or feature enhancements, are not included in the standard subscription plans and will incur separate charges based on our current pricing.

  5. We reserve the right to introduce new fees, adjust existing fees, or modify payment structures, provided that we give you prior notice in accordance with these Terms.

5.3. Automatic Renewal and Cancellation

  1. Subscriptions will automatically renew at the end of each billing cycle unless canceled prior to the renewal date. Cancellations made through the Platform are processed instantly, while email cancellations may take longer to process. If you do not cancel before renewal, you will be charged for the next billing cycle and are not entitled to a refund.

  2. By providing payment details, you authorize Execue to charge your designated payment method for all applicable fees until you cancel.

  3. If a payment fails or is declined, we may suspend access to the Services until payment is successfully processed. If payment remains outstanding after multiple attempts, we may terminate your account.

5.4. No Refunds Policy

  1. All payments are non-refundable. No refunds or credits will be issued for partial months of service, subscription downgrades, or unused Services

  2. Execue reserves the right to modify pricing, features, or service levels. Any such changes will be communicated at least 30 days in advance, and continued use of the Services after such notice constitutes acceptance of the new pricing.

6. Cancellation and Termination

6.1. User-Initiated Cancellation

  1. You may cancel your subscription at any time via the Platform or by contacting alex@execue.io.

  2. Cancellation takes effect at the end of your current billing period, and you will retain access until that time. No refunds will be provided for unused time within a billing cycle.

6.2. Suspension or Termination by Execue

  1. We reserve the right to suspend or terminate your account if you:

  1. Violate these Terms or applicable laws.

  2. Engage in fraudulent, unauthorized, or abusive activity.

  3. Exceed your subscription limits without an appropriate plan upgrade.

  4. Fail to make timely payments after repeated notifications.

  1. If your account is suspended or terminated, you will not be entitled to a refund. In some cases, we may provide advance notice, but we are not obligated to do so.

6.3. Service Discontinuation

  1. We reserve the right to discontinue the Services or terminate your access without cause by providing 30 days' prior written notice. In such cases, your access will remain active until the end of your current billing cycle.

  2. Upon termination, your data may be deleted permanently and cannot be recovered.

7. User Content

7.1. Ownership and Responsibility

  1. Any content you upload, store, or share through our Services (“User Content”) remains your sole property. This includes, but is not limited to, text, images, customer lists, campaign data, and any other materials you generate or provide.

  2. User Content does not include any materials, templates, or data provided by Execue, including proprietary datasets, integrations, or insights derived from our analytics.

7.2. License Grant to Execue

  1. By submitting or storing User Content through our Services, you grant Execue a limited, non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, store, copy, modify, distribute, transmit, display, and create derivative works of such content solely for the purpose of operating, improving, and providing the Services to you. This may include internal analytics, system improvements, and platform optimization

  2. This license does not grant Execue ownership of your content, nor does it permit us to sell or publicly distribute your User Content outside the scope of providing our Services.

7.3. Compliance and Liability

  1. You are solely responsible for ensuring that your User Content does not infringe on any third-party rights (including intellectual property and privacy rights) or violate any applicable laws or regulations.

  2. If you use our Services to conduct marketing campaigns, outreach, or lead generation, you are responsible for complying with all applicable laws and the terms of any third-party platforms.

  3. We do not actively monitor User Content but reserve the right to review, remove, or restrict access to any content that we believe violates these Terms, applicable laws, or third-party rights.

7.4. Data Storage and Backup

  1. Execue does not guarantee indefinite storage of User Content. Upon account termination, we may delete all associated data without liability.

  2. You are responsible for maintaining independent backups of any critical User Content stored on our Platform.

8. Prohibited Activities

You may not use our Services for any of the following:

8.1. Unlawful or Harmful Conduct

  1. Engaging in illegal, deceptive, fraudulent, or malicious activities, including but not limited to:

  1. Violating laws and regulations;

  2. Sending spam, phishing emails, or fraudulent communications;

  3. Engaging in unauthorized data scraping, harvesting, or web crawling;

  4. Distributing malware, spyware, or other harmful code.

  1. Uploading, posting, or transmitting content that is unlawful, defamatory, abusive, harassing, obscene, or otherwise objectionable, including content that promotes hate speech, discrimination, or violence.

8.2. Unauthorized Access and Disruption

  1. Attempting to gain unauthorized access to our platform, other users’ accounts, or restricted areas of our systems.

  2. Interfering with, disrupting, or attempting to disrupt the operation of our Services, including:

  1. Overloading servers, launching denial-of-service (DoS/DDoS) attacks;

  2. Circumventing access controls, rate limits, or security measures;

  3. Conducting unauthorized penetration testing or security probing.

  1. Registering multiple accounts to bypass service limitations or restrictions.

8.3. Misuse of User Data and Intellectual Property

  1. Collecting, storing, or using other users’ personal data without their explicit consent.

  2. Uploading or distributing content that infringes on copyrights, trademarks, patents, or other intellectual property rights of third parties.

  3. Using Execue’s proprietary data, insights, or integrations in a manner that competes with or misrepresents our Services.

8.4. Consequences of Violations

  1. If you engage in any of the prohibited activities listed above, Execue reserves the right to:

  1. Suspend or terminate your account without prior notice.

  2. Restrict or remove access to content that violates these Terms.

  3. Report violations to relevant authorities or third parties as required by law.

  1. If your actions cause Execue to incur legal liability, face third-party claims, or suffer reputational harm, you agree to indemnify and hold us harmless against any resulting damages, claims, or costs.

9. Intellectual Property

9.1. Ownership of Execue Content

  1. All content, data, analytics, software, text, graphics, images, templates, proprietary algorithms, and other materials provided through the Services (“Execue Content”) are the exclusive property of Execue GTM, Inc. and/or its licensors. This includes, without limitation, any source code, video, text, software, photos, graphics, images, music, and sound, whether provided via the Platform or through other means.

  2. You acknowledge that Execue and its licensors retain all intellectual property rights in the Execue Content, including proprietary insights, analytics, job change tracking, integrations, and other related features. These rights are not transferred to you under these Terms and are solely reserved by Execue or its licensors.

9.2. Limited License to Use Execue Content

  1. Subject to your compliance with these Terms, Execue grants you a limited, revocable, non-exclusive, non-transferable license to access and use Execue Content solely for your authorized use of the Services, and solely to the extent necessary to operate the Platform as intended.

  2. This license does not grant you the right to:

  1. Modify, create derivative works of, distribute, or publicly display Execue Content.

  2. Reproduce or use Execue Content outside of the Services for commercial purposes.

  3. Use Execue’s trademarks, logos, or branding without prior written consent.

9.3. Restrictions on Execue Content

  1. You agree that you will not:

  1. Download, store, or save any Execue Content in any medium outside of the Services, except as expressly authorized by Execue.

  2. Transfer, sell, or redistribute any Execue Content to any third party, whether for profit or otherwise.

  3. Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of the Services, or any part of the Execue Content.

  4. Exploit any Execue Content in a way that could harm, disrupt, or interfere with the intended functionality of the Platform.

9.4. Intellectual Property Rights and Feedback

  1. You acknowledge and agree that Execue reserves all intellectual property rights in and to the Execue Content, except as expressly granted under these Terms.

  2. Any feedback, suggestions, or improvements you provide regarding the Services (such as feature recommendations) will be considered non-confidential and non-proprietary, and Execue will have the right to use and incorporate such feedback into the Platform without any obligation to compensate you.

9.5. Protection of Third-Party Content and Rights

  1. Execue respects the intellectual property rights of others. If we believe that any Execue Content infringes the rights of a third party, we may, at our sole discretion, remove or disable access to that content.

  2. Execue also acknowledges the use of third-party trademarks, service marks, and logos on the Platform. These third-party marks are used with permission or for identification purposes only, and Execue does not claim ownership over such marks.

9.6. No Exclusivity

  1. You acknowledge and agree that Execue Content, including but not limited to templates, insights, tools, and other materials, is available for use by other users of the Services and is not exclusive to your business. The rights granted to you under these Terms do not include any exclusivity over Execue Content, and such content may be accessed, used, or shared by other users, as determined by Execue in its sole discretion. Execue retains the right to provide access to Execue Content to multiple users, including competitors or other entities within the same industry.

10. AI-Generated Content

  1. For the purposes of this section, “AI-Generated Content” includes, but is not limited to, emails, messages, sales outreach materials, reports, summaries, proposals, or any other textual or creative content generated through the use of AI algorithms and models. 

  2. By using these AI-Generated Content features, you acknowledge and agree that

  1. AI-Generated Content is produced automatically and may require your review and modification before use.

  2. Execue does not guarantee the accuracy, completeness, uniqueness, or compliance of AI-Generated Content with legal, ethical, or industry-specific standards. While the AI tools are designed to generate relevant content, the results may not be unique and could resemble content generated for other users.

  3. You are solely responsible for reviewing AI-Generated Content to ensure it aligns with your business needs, complies with legal requirements, and adheres to any applicable regulations.

  4. Execue is not liable for any consequences arising from the use, distribution, or reliance on AI-Generated Content, including any legal or regulatory consequences.

  5. You acknowledge that AI-Generated Content may inadvertently include sensitive or personal information if such information is inadvertently incorporated into input data or output. You are responsible for ensuring that sensitive data is appropriately handled, and you must comply with all applicable privacy and data protection regulations when using or distributing AI-Generated Content.

  6. AI-Generated Content may be based on non-personally identifiable data to enhance functionality. However, Execue does not permanently store or retain user-specific content beyond what is necessary to provide the service.

  7. Execue reserves the right to modify, suspend, or disable AI features at any time without notice.

11. Demo Services

  1. Execue may, at its sole discretion, provide limited, temporary access to Demo Services for evaluation purposes only. The access to and use of Demo Services is subject to the following terms and conditions:

  1. Demo Services are provided solely for the purpose of evaluating the Platform and its features. You may not use Demo Services for commercial, production, or business purposes.

  2. Demo Services may have limitations in terms of features, data storage, and support compared to full paid subscriptions. These limitations are outlined by Execue and may vary at its discretion.

  3. Execue reserves the right to modify, suspend, or terminate access to Demo Services at any time, with or without notice. You may choose to discontinue the demo at any time by contacting support at alex@execue.io.

  4. Demo Services are provided on an “as is” and “as available” basis, without any warranty, express or implied, regarding performance, accuracy, or security.

  5. Execue disclaims all liability for any errors, data loss, interruptions, or issues arising from the use of Demo Services. You acknowledge that Demo Services are intended solely for evaluation and may not reflect the full capabilities or performance of the Platform.

12. Third-Party Content and Integrations

  1. Our Services may include links, integrations, or data from third-party sources, such as CRM platforms, marketing automation tools, or external websites (“Third-Party Content”). Execue does not control, endorse, or assume responsibility for the accuracy, availability, legality, or any other aspects of Third-Party Content.

  2. Your use of Third-Party Content and integrations is at your own risk. You are solely responsible for ensuring that your use of such content and integrations complies with any applicable third-party terms of service, policies, or legal requirements.

13. No Warranties

  1. The Services are provided “as is” and “as available,” without any warranties of any kind, whether express or implied. This includes, but is not limited to, warranties regarding merchantability, fitness for a particular purpose, non-infringement, reliability, accuracy, or uninterrupted availability of the Services.

  2. We do not guarantee that:

  1. The Services will be error-free or operate without interruptions;

  2. Any integrations, API connections, or CRM data syncs will be seamless or uninterrupted;

  3. Any lead generation, sales optimization, or marketing insights will result in specific business outcomes.

  1. Execue is not liable for any service disruptions, downtime, or issues caused by third-party platforms, cloud hosting providers, internet service providers, or other external factors beyond our control.

14. Limitation of Liability

To the maximum extent permitted by law: 

  1. Execue is not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, revenue, or data; business interruption; service outages or security breaches beyond our reasonable control.

  2. Our total liability for any claim shall not exceed the total fees you have paid to us for the Services in the twelve (12) months prior to the claim arising.

  3. If applicable law does not allow the exclusion of certain damages, our liability will be limited to the fullest extent permitted by law.

  4. Execue shall not be held liable for any failure or delay in performance of its obligations under these Terms due to any event or circumstance beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, civil disturbances, acts of government, failure of third-party services, or technological failures.

15. Indemnification

  1. You agree to indemnify, defend, and hold harmless Execue, its affiliates, officers, employees, agents, and licensors from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  1. Your use, misuse, or inability to use the Services;

  2. Your breach of these Terms or violation of any applicable laws, regulations, or third-party rights;

  3. Any claims related to User Content you provide, including but not limited to allegations of copyright infringement, trademark violations, or other intellectual property rights infringements;

  4. Your unauthorized use of third-party data or integrations.

  1. You are responsible for any legal fees and costs incurred by Execue in defending against any such claims.

16. Governing Law and Dispute Resolution

  1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

  2. Any disputes arising under or in connection with these Terms shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Delaware, USA, and be conducted in the English language.

  3. You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Execue.

  4. Notwithstanding the foregoing, Execue reserves the right to seek injunctive or equitable relief in any jurisdiction to protect its intellectual property rights or prevent unauthorized use of its Services.

17. Miscellaneous Provisions

  1. These Terms, together with our Pricing Terms, constitute the complete and exclusive agreement between you and Execue and supersede all prior agreements or understandings, whether written or oral, relating to the subject matter of these Terms.

  2. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

  3. Failure or delay by Execue to enforce any provision of these Terms does not constitute a waiver of that provision.

  4. Execue may assign or transfer its rights and obligations under these Terms without your consent. You may not assign or transfer any of your rights or obligations without our prior written approval.

  5. Execue may update or modify these Terms from time to time. We will notify you of any material changes via email, in-app notifications, or by updating the Terms on our website.

  6. Your continued use of the Services after such updates constitutes your acceptance of the revised Terms.

  7. If you do not agree to the updated Terms, you must immediately cease using the Services.

  8. These Terms do not create an agency, partnership, joint venture, or any other legal association, and neither party shall have the authority to act on behalf of or bind the other in any respect.

  2. Execue may deliver notices to you via email, or via Platform we deem suitable.
